Terms of Service

1. Acceptance of terms

These Terms of Service (“Terms”) govern your access to and use of CiteReady (the “Service”) operated by CiteReady (“we”, “our”, or “us”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The service

CiteReady is a software-as-a-service tool that audits publicly accessible websites for AI search visibility across multiple dimensions. We produce reports that describe technical and content findings and provide recommendations. Findings and scores are informational; outcomes in AI search engines depend on many factors outside our control.

3. Accounts

You must create an account to access paid features. You are responsible for all activity under your account and for maintaining the security of your login credentials. You must provide accurate information. You must be at least 18 years old and have the authority to bind the organization you represent (if any).

4. Fees, billing, and refunds

Paid plans are billed in advance via Stripe. Subscription plans renew automatically until canceled. One-time purchases (e.g. the Single Audit plan) are final and non-refundable once the audit begins. Subscription fees are non-refundable except where required by applicable law. You may cancel a subscription at any time via the billing portal; cancellation takes effect at the end of the current billing period.

5. Acceptable use

You may only audit websites you own, operate, or have clear authorization to audit. You agree not to: (a) interfere with or disrupt the Service; (b) attempt to gain unauthorized access to systems; (c) use the Service to send spam or for unlawful purposes; (d) reverse-engineer the scoring models; (e) resell or sublicense Service output in a way that misrepresents CiteReady or its findings.

6. Intellectual property

The Service, including its design, source code, scoring methodology, and documentation, is owned by CiteReady and protected by intellectual property laws. Reports generated for you are yours to use, including white-labeling for client work on applicable plans. The CiteReady trademark may only be removed from reports on plans that explicitly permit it.

7. Third-party services

The Service uses third-party providers including Stripe (payments), Supabase (database + authentication), Vercel (hosting), Anthropic (AI scoring), Firecrawl (web crawling), and Inngest (job execution). Your use of these services is subject to their own terms. We are not responsible for third-party service outages or changes.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not guarantee that AI search engines will cite your site at any particular rate following recommendations. Scoring is modeled and directional.

9. Limitation of liability

To the maximum extent permitted by law, CiteReady’s total liability for any claim arising from or relating to the Service is limited to the amount you paid us in the 12 months before the claim arose. In no event will we be liable for indirect, incidental, special, consequential, or punitive damages.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, suspected fraud, or non-payment, with notice where practicable.

11. Changes

We may update these Terms to reflect product changes or legal requirements. Material changes will be notified via email or in-app notice. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of Ontario.
